Affiliate Agreement

Preamble

This agreement is between Solutions on Tap (the Publisher) and you (the Affiliate) and sets out the rights and responsibilities of both parties. The Affiliate agrees to promote the All You Can Eat Love Diet (the Book) by promoting it through affiliate links to www.allyoucaneatlovedietcom (the Web Site). 

In return, the Publisher agrees to pay for a commission all sales made by the Affiliate. If you do not agree to any of the terms below of this Affiliate Program, do not become an affiliate.

Privacy

Your personal information is private and will not be sold, rented, or otherwise revealed to any third parties for any reason whatsoever. Ever.

Affiliate Status

Your are an independent contractor and are not an employee or partner of the Publisher. As such, you are responsible for your own taxes, which are payable out of commissions received. The Publisher will under no circumstances be responsible for any taxes payable by the Affiliate.

Promotional Methods

The Publisher will provide various marketing materials to the Affiliate to allow successful promotion of the Book. The Affiliate is free to develop independent promotional materials, but must make sure that no unrealistic claims are made for the Book. 

The Publisher shall under no circumstances be responsible for any such claims made by the Affiliate. If such claims are found to be made, the Affiliate will be warned to stop. If this warning is ignored, the Affiliate agreement will be terminated immediately and any and all commissions due to the Affiliate will be forfeited. 

Reliability

The Publisher shall do its utmost to ensure that its web site is available at all times. However, as the Internet isn't 100% reliable, this cannot be guaranteed.

Sales

Sales from unique visitors reaching our site from your Affiliate link are recorded by a separate company Clickbank/Keynetics. They process credit card orders as well as look after the entire affiliate program for the Publisher.

We cannot enter into any discussions as to expected referrals and can only make payments when and if the customer has entered through your hop link and purchased on an occasion when they have entered through your hoplink, or their IP address was recognised by the system as having been referred through your hoplink.

Commission

The Publisher agrees to pay the Affiliate a commission, currently 50%, from all sales generated by you, after Clickbank costs have been deducted from the sales price. All statistics are handled by Clickbank/Keynetics. 

You will receive an automatic notification of each sale, and have access to your unique ClickBank account which logs all your transactions in real time. The Publisher is not responsible for the conduct of ClickBank, nor responsible for disputes between the Affiliate and Clickbank/Keynetics. 

Payment

Payments are handled directly by Clickbank/Keynetics. The original setup ensures that the Affiliate receives a cheque when the commission payable has reached the sum of $100 USD. This may be changed in view of higher earnings to reduce banking charges for all concerned. 

The minimum cheque payment is $100. Amounts less than $100 will be carried forward until the minimum payment has been reached.

Copyright

The book is the intellectual property of the Publisher and is only for the personal use of purchaser. All marketing materials are the intellectual property of the Publisher and are only to be used for the promotion of the Book.

Pricing

The price of the Book is set by the Publisher and can be changed at any time. If this happens, the Affiliate will be notified of the new price and commission fee.

Refunds

Any refunds which occur will result in the Publisher retaining commission for the refund from the next cheque due to the Affiliate. This will be handled automatically by Clickbank/Keynetics and any and all enquires should be made to them directly.

Terms of Use

The Publisher offers a selected range of content expressly for the purposes of promotion of the Book, its content and activities. The content offered under this program, including text, images, audio, video and downloadable files, must be used 'as-is', without material alteration and must incorporate an affiliate link to the Web Site. 

Spam

The Affiliate may not, at any time, use any link to the Publisher's web site in any unsolicited email promotion. Email recipients must specifically requested to be placed on the Affiliate's mailing list. All email promotion activities must at all times fully comply with all relevant international laws. 

Suitability

We reserve the right to reject any web site if we determine, in our sole discretion and following our review of your site, that your site is unsuitable for any reason, including, but not limited to, inclusion of content that is in any way unlawful, harmful, threatening, defamatory, obscene, harassing, or racially, ethnically, or otherwise objectionable, or that includes or promotes sexually explicit materials, violence, or discrimination based on race, sex, religion, nationality, disability, sexual orientation or age.

Violation

In the case of violation of this agreement, including conduct that may bring the Publisher or the Web Site into disrepute, the Affiliate is liable to disciplinary action. This may include email warnings, loss of commissions, and for repeated violation, termination of affiliate status and the forfeit of all unpaid commissions due. It is your responsibility to ensure that you comply with these terms and conditions at all times.

Variation

We reserve the right to alter these Terms and Conditions as necessary with or without notice. Changes to the Terms and Conditions shall be posted to this web page. Affiliates agree to be bound by the then current Terms and Conditions throughout their participation in the Affiliate Program.

Termination

Both parties have the right to voluntarily terminate this agreement for any reason at any time by email. Any final commission payment due to the Affiliate will be paid at the end of the next payment period.

Disclaimer

TO THE FULLEST EXTENT PERMITTED AT LAW, THE PUBLISHER IS PROVIDING THIS SITE AND ITS CONTENTS ON AN 'AS IS' BASIS AND MAKES NO (AND EXPRESSLY DISCLAIMS ALL) REPRESENTATIONS OR WARRANTIES OF ANY KIND WITH RESPECT TO THIS SITE OR ITS CONTENTS. 

INCLUDING, WITHOUT LIMITATION WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE, IN ADDITION, THE PUBLISHER DOES NOT REPRESENT OR WARRANT THAT THE INFORMATION ACCESSIBLE VIA THIS SITE IS ACCURATE, COMPLETE OR CURRENT. 

Price and availability information is subject to change without notice.

Except as specifically stated on this site, to the fullest extent permitted at law, neither the Publisher nor any of its affiliates, directors, employees or other representatives will be liable for damages arising out of or in connection with the use of this site. This is a comprehensive limitation of liability that applies to all damages of any kind, including (without limitation) compensatory, direct, indirect or consequential damages, loss of data, income or profit, loss of or damage to property and claims of third parties. For the avoidance of doubt, the Publisher does not limit its liability for death or personal injury to the extent only that it arises as a result of the negligence of the Publisher, its affiliates, directors, employees or other representatives.

Jurisdiction

This agreement is subject to the laws of the state of Western Australia.
